OVERVIEW

We Take the Complexity Out of Cross-Border M&A Deals

Cross-border and global M&A deals offer significant growth opportunities (market access, new revenue streams and competitive advantage) but can quickly become overwhelming. Compliance risks, talent transitions and tight timelines create challenges at every stage: pre-deal, execution and post-close integration. In carve-out deals, orphaned employees are often left without a legal entity to employ them, adding to the complexity and time pressures of the transaction.

GoGlobal transforms complexity into clarity, delivering the right mix of entity setup, employment structures, payroll, tax and HR support to ensure a seamless transition from signing to integration. Our dedicated M&A team and in-country experts mitigate risks, help retain talent and keep your transaction on track efficiently, compliantly and cost-effectively.

Employer of Record

TSA Timelines Are Tight, But We Transition Talent Fast and Flexibly

Cross-border carve-outs often leave acquired talent without a vehicle for employment, posing compliance challenges and talent flight risks. When entity setup timelines exceed the TSA period, our Employer of Record (EOR) and Non-Resident Payroll (NRP) services act as a transitional bridge keeping employees compliantly engaged while we work alongside you to establish a permanent local entity. For longer-term operations, revenue-generating activity or larger teams, entity establishment is the strategic destination and we manage that handover end to end.

Key Benefits of EOR

  • Hire rapidly without the need to establish a local entity.
  • While GoGlobal is the legal employer, day-to-day management is overseen by your team.
  • Ensure compliance with local employment laws.
  • Enjoy the flexibility to scale operations internationally.

Important Considerations

  • Visa sponsorships may impact the timing and ability to transfer those workers to certain employment vehicles.
  • Legal restrictions, such as contract length limits, may apply in some regions.
  • Certain business activities and permanent establishment (PE) risks may necessitate a local entity.
“Time is of the essence when a cross-border deal is on the table. With the right partner, buyers and sellers can move at deal speed without compromising compliance, employee experience or long-term operational stability.”

FAQs

Global M&A Support: Frequently Asked Questions

What services does GoGlobal provide during cross-border M&A deals?

Our M&A support spans the full operational suite needed for international transactions: entity establishment, company secretarial and directorship services, Employer of Record (EOR), Non-Resident Payroll (NRP), Agent of Record (AOR) for independent contractors, global payroll, accounting, tax compliance, global benefits and international HR consulting. We work alongside your investment banking, legal and integration advisors to deliver in-country execution.

How do you support the full M&A deal lifecycle from pre-deal, execution and post-close?

Pre-deal, we help with workforce due diligence, jurisdiction-level risk identification and timeline planning. During execution, we mobilise EOR, NRP or entity setup to ensure compliant employment continuity through the TSA period. Post-close, we provide ongoing payroll, tax, accounting, benefits and HR support and manage the handover from interim arrangements to permanent entity structures.

How do you help retain employees and reduce talent flight risk during a deal?

We focus on three areas that drive flight risk: clarity of employment status, continuity of pay and benefits and quality of local HR experience. By onboarding acquired employees compliantly, aligning benefits to local expectations and providing same-language local HR support, we help retain employees and reduce talent flight risk.

Can you support orphaned employees when there is no local legal entity in place?

Yes. Where the buyer has no local entity at close, our EOR or NRP services act as a bridge, employing or paying the orphaned workforce while a permanent entity is established. This avoids gaps in payroll, tax and statutory benefits during the most sensitive phase of the transition.

When does it make sense to establish a local entity instead of using EOR or NRP?

Entity establishment is the right choice when the buyer is planning a sustained, revenue-generating presence in-country, building a larger team, sponsoring visas, holding local assets, or seeking to benefit from local tax regimes. EOR and NRP work well for short TSA periods, small teams or markets where the buyer is still evaluating long-term commitment. Our team helps you assess which structure fits the deal at hand and plans the transition between them.

How quickly can you mobilise during a tight TSA period?

EOR onboarding can be completed in as little as 24 to 72 hours in most jurisdictions, subject to local documentation and visa requirements. Entity establishment timelines vary by country, typically two to eight weeks for the entity itself, with local bank account opening a common bottleneck. We map this timing against your TSA before recommending the right structure.

Do you support post-close operations beyond the workforce transition?

Yes. Many of our M&A clients move with us into long-term operational support which include ongoing payroll, accounting, tax compliance, benefits administration, HR consulting and entity governance once the deal closes. This continuity reduces vendor sprawl and gives finance and HR teams a single point of contact for international operations.
